Service Agreement

1 . SERVICE EXPECTATIONS. This Section 2 defines the Service Expectations and standard operating procedures for the TC.

1.1 Business Hours: Your Transaction Coordinator is available during the following hours under this Agreement.

Monday - Friday: 8am - 3pm Local to their time zone

Weekends & Federal Holidays: Closed

1.2 Outside of Business Hours: The TC is not required to respond outside of normal business hours. The TC may regularly

check their notifications outside of normal Business Hours and choose to respond if the TC determines it requires an

urgent response.

1.3 Turnaround & Response Time Expectations: All emails, texts, and calls during normal business hours will be responded to

in no less than 4 business hours. (This means if you send an email at 2pm on a Friday with a non-urgent request, we will

respond to you no later than 11 am on Monday)

1.4 Deal Communication Management: The main method of communication for all deals will be via email. Text messages are

acceptable in urgent scenarios, however, the main form of communication should be done via email. When emailing, please be

sure to include the property address in the subject line along with a brief description of the reason for your email.

(Example Subject Line: “CLOSING UPDATE REQUEST: 1234 Main St”)

2. SERVICES PROVIDED. This Section 3 defines the Services to be provided by the Transaction Coordinator.

* Client Contract Consultation

Client will be responsible for filling the contract out to the best of their ability. TC will review the purchase contract, confirm

its suitability for the Client's needs, and address any content questions or concerns. It is explicitly understood that the TC does

not provide legal advice but aims to help the Client understand the contract's content.

* Seller Contract Walkthrough -

TC will walk the seller through the contract to ensure their understanding of its content. This service is an add-on and is not

automatically included in the TC fee unless otherwise stated in this agreement in Section 4.

* Transaction/Escrow Management - 

TC will manage the transaction from contract to closing, which includes but is not limited to the following tasks: opening escrow, coordinating Earnest Money Deposit (“EMD”), reviewing title reports, assisting with title exceptions & requirements, facilitating

communication among all parties, handling accessory documents needed during escrow, ordering mortgage payoffs and/or

reinstatements, coordinating closing signing locations, disbursement information, documents during escrow, and recorded

documents. A post-closing package prepared and sent with instructions & service company recommendations is included with

the TC fee; however, performing post-closing tasks is not included, and additional fees apply for such services.

* PML/Gator Transaction Coordination-

TC will review any contracts or documents related to the transaction to ensure the lender's protection and verify that the contract

doesn't hinder their interests. TC will also monitor the inspection period to safeguard the lender's investment.

* Post-Closing Service-

TC ensures post-closing tasks are performed including the following tasks: Collection of information and signatures requested in

the closing packet, and completion of Change Requests for the mortgage company, insurance company, and HOA. Setting up of

new home insurance policy. 

* Servicing Set-Up- 

TC will set up servicing payments with the One Point Lending LLC and ensure that the receiving party is indeed receiving the

monthly payments.

3. REFUNDS. If the deal fails to close through no fault of the Client, the remaining balance of the TC fee will not be due. There are

no refunds or credits for services that require full upfront payment. Any credits applicable for future services will be at the TC's

discretion, subject to specific circumstances. The TC is not responsible for ensuring the deal closes. The TC is responsible for only

tasks contracted for noted in Section 3.

4. ADDITIONAL DISCLOSURES.

4.1 I/We acknowledge that TC Deal Pros LLC provides transaction coordination services and does not engage in the preparation of legal documents. We are not authorized to prepare documents on your behalf. If there is a need for document preparation, it is essential to engage a licensed attorney in the respective state where the transaction is taking place. Please be aware that this may result in additional costs to facilitate the successful closure of this transaction.

4.2 I/We agree to fully indemnify, defend, and hold TC Deal Pros LLC harmless from any and all losses, costs, damages, attorney’s fees, and expenses of any kind and nature that we may incur as a result of our participation in this transaction.

4.3 I/We acknowledge that TC Deal Pros LLC is not responsible for negotiating the terms of your transaction, nor can we verify the accuracy of the information contained within the contract. It is your sole responsibility to ensure that all negotiated terms are accurately reflected in the contract. TC Deal Pros LLC acts as a third party in this transaction and assists in monitoring and facilitating the timely completion of the escrow.

4.4 I/We understand, acknowledge, and agree that TC Deal Pros LLC does not provide legal advice. It is recommended that you seek independent legal counsel regarding this transaction, as TC Deal Pros LLC cannot offer legal guidance.

4.5 I/We understand, acknowledge, and agree that TC Deal Pros LLC recommends engaging an independent underwriter to review this transaction for accurate revenue projections. TC Deal Pros LLC does not assume responsibility for verifying the accuracy of your underwriting and shall not be held accountable for any financial losses resulting from faulty underwriting.

4.6 I/We acknowledge that circumstances outside of our control may lead to delays in closing, including, but not limited to, factors such as the title company/closing attorney's inability to prepare documents, communication delays, government actions, natural disasters, and other unforeseeable events. In such cases, TC Deal Pros LLC shall not be held liable, and the client releases TC Deal Pros LLC from any claims related to delayed escrow closure. 

4.7 Client hereby releases, discharges, and holds harmless TC Deal Pros LLC for the failure to timely close escrow as a result of any circumstances outside of TC Deal Pro's control.

4.8 I/We agree that continuous communication throughout each real estate transaction is vital to the proper performance of TC Deal Pros LLC's duties. We commit to providing all requested information promptly and keeping TC Deal Pros LLC informed of developments in a timely manner.

4.9 This Agreement shall be effective as of the date signed by the Client and will continue until the earlier of (1) close of escrow on the Property, (2) termination of the purchase contract/agreement, or (3) the termination of this Agreement by either of the parties as provided herein.

4.10 I/We agree TC Deal Pros LLC may terminate this Agreement by giving the Client 24 hours advanced written notice

4.11 Client may terminate this Agreement if TC Deal Pros LLC fails to cure any default or breach of this Agreement within ten (10) days of receipt of notice of Client's intent to terminate due to such default or breach.

4.12 I/We agree that upon the termination of this Agreement by either party, TC Deal Pros LLC shall retain the deposit, but no further amounts shall be owed to TC Deal Pros LLC under this Agreement.

4.13 I/We agree that upon termination for any reason, TC Deal Pros LLC shall provide to Client any and all copies, in whole or in part, of the documents that we have filed in connection with this agreement.

Service Agreement
